Welcome to Anderise. These Terms of Service ("Terms") govern your access to and use of the services, website, and talent platform provided by Anderise LLC ("Anderise", "we", "us", or "our").

By accessing our website or engaging with our services, you agree to be bound by these Terms. If you do not agree to any part of these Terms, you may not use our services.

01Scope of Services & Separate Agreements

Anderise operates a B2B remote professional talent matching and staff augmentation service. Please note: These Terms govern your use of our Website and general communications. Actual engagements, hiring of talent, service delivery, and financial transactions between Anderise and its Clients will be governed by a separate, negotiated, and mutually signed Master Services Agreement (MSA) and applicable Statements of Work (SOWs). In the event of any conflict between these Terms and an executed MSA, the MSA shall prevail.

02Intellectual Property Rights

Unless otherwise stated, the Site and its original content, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by Anderise LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site without the prior written consent of Anderise.

03User Representations and Conduct

By using the Site, you represent and warrant that:

1. All registration and profile information you submit (whether as a prospective client or talent applicant) is true, accurate, current, and complete.
2. You will maintain the accuracy of such information and promptly update it as necessary.
3. You have the legal capacity to agree to these Terms.
4. You are not under the age of 18.
5. You will not use the Site for any illegal or unauthorized purpose.

You agree not to use the Site to:

• Attempt to bypass any security measures of the Site.
• Transmit any viruses, worms, malware, or any code of a destructive nature.
• Scrape, spider, or systematically extract data from the Site without express written permission.
• Impersonate another person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.

Our Site may contain links to third-party web sites or services that are not owned or controlled by Anderise LLC. Anderise has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that Anderise shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

05Disclaimer of Warranties

The Site is provided on an “AS IS” and “AS AVAILABLE” basis. Anderise makes no representations or warranties of any kind, express or implied, as to the operation of their services, or the information, content, or materials included therein. You expressly agree that your use of the Site is at your sole risk.

To the full extent permissible by applicable law, Anderise disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. Anderise does not warrant that the Site, its servers, or emails sent from Anderise are free of viruses or other harmful components.

06Limitation of Liability

In no event shall Anderise LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• (i) your access to or use of or inability to access or use the Site;
• (ii) any conduct or content of any third party on the Site;
• (iii) any content obtained from the Site; and

You agree to defend, indemnify, and hold harmless Anderise LLC and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Site, by you or any person using your account and password, or b) a breach of these Terms.

08Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

09Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Site after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Site.
